Terms of Service
These terms apply to every free, trial and paid use of DocSync and other software sold by Surpassion. Please read them before you install or buy. You can save or print this page.
1. Who we are
The software is offered by Surpassion, a sole proprietorship (eenmanszaak) owned by Dimitri Pietersz, registered with the Netherlands Chamber of Commerce (KvK) under number 52362914, VAT ID NL001876948B91, Stationsstraat 17, 2042 LD Zandvoort, The Netherlands. Email: [email protected].
2. Our reseller: Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
For online orders, you buy from Paddle, and Paddle’s Buyer Terms also apply to the purchase. Paddle handles payment, sales tax/VAT, invoices and receipts. Invoices are issued by Paddle.com Market Ltd (Paddle.com Inc. for US buyers), and your card statement shows PADDLE.NET* DOCSYNC. For order or billing questions, visit paddle.net. For product and licence questions, contact us at [email protected].
Business and Enterprise customers may instead agree to buy directly from Surpassion against an invoice. Those purchases are not handled by Paddle; these terms apply to them as well.
3. The product and plans
DocSync is an extension for Azure DevOps that keeps SharePoint and OneDrive folders in line with your Azure Boards work-item hierarchy. It is licensed per Azure DevOps organization, based on the number of users with Basic access.
- Solo Developer: 1–5 Basic-access users, free, without a time limit.
- Startup: 6–10 users, €199 per organization per year.
- Business: 11–50 users, €199 + €10 for each user above 10, per year.
- Enterprise: 51+ users, price on request.
Prices exclude VAT; Paddle shows the final amount including applicable tax before you pay. The pricing page explains how users are counted. Organizations with more than five users can use a full 14-day trial after setup, without a payment card. When the trial ends without a licence, synchronization pauses until a licence is activated.
4. Licence
After payment you receive a licence key for one Azure DevOps organization, for the number of users and the period you bought. We grant you a non-exclusive, non-transferable right to use the software within those limits for your own (business) purposes during that period.
You may not share a key with another organization, resell the software, or remove, bypass or tamper with licence checks. The software is licensed, not sold; all intellectual property remains with Surpassion.
We may revoke a licence key after a refund, a chargeback, non-payment of an invoice, or a serious breach of these terms. DocSync stops working at its next use after we publish the update, normally within 24 hours. Your documents in Microsoft 365 are never deleted or changed by a revocation.
5. Term, renewal and cancellation
Paid licences run for one year. Online subscriptions renew automatically for another year at the then-current price, until you cancel. We or Paddle will remind you before a renewal where required, and notify you in advance of any price increase.
You can cancel at any time via the link in your Paddle confirmation email or via paddle.net. Cancellation stops the next renewal; you keep access until the end of the paid period. Refunds are covered by our Refund Policy.
Direct-invoice agreements renew per invoice unless cancelled at least one month before the end of the term. They never authorize automatic bank debits.
6. Acceptable use
Use the software lawfully, within the Microsoft and Azure DevOps terms that apply to you, and only with content you are permitted to store and share. Do not use it to attack, overload or reverse-engineer our or Microsoft’s services, except where the law expressly allows.
7. Your data
DocSync runs inside your own Azure DevOps organization and talks directly to Microsoft 365 as the signed-in user, after a Microsoft 365 administrator has approved it once. Your documents stay in your Microsoft 365. DocSync sends no data from Azure DevOps, SharePoint or OneDrive to Surpassion or anyone else. Your licence key is checked offline inside the extension. We only process the limited business and billing data described in our Privacy Policy.
8. Support and availability
Free plans include documentation and self-service. Paid plans include email support on working days, without a guaranteed response time, unless a service level has been agreed in writing. DocSync depends on Microsoft services; we are not responsible for their availability or changes.
9. Warranty and liability
We build the software carefully and fix reproducible defects within a reasonable time. Beyond that, it is provided as it is.
For business customers, our total liability is limited to the amount you paid for the software in the twelve months before the event causing the damage. We are not liable for indirect damage, such as lost profit, lost data or business interruption. These limits do not apply in case of intent or deliberate recklessness on our part.
If you are a consumer, nothing in these terms limits the rights you have under mandatory consumer law.
10. Changes
We may change these terms for future periods. We announce material changes at least 30 days in advance by email or on this page. If you do not agree, you may cancel before the change takes effect.
11. Law and disputes
Dutch law applies; the UN Convention on Contracts for the International Sale of Goods (CISG) does not. Disputes with business customers are submitted to the competent court in the district of Noord-Holland (Haarlem). Consumers keep the protection of the mandatory law and courts of their country of residence. Please contact us first — we would rather solve it together.
